These Terms of Service ("Terms") are a binding agreement between you and CGI Marine LLC, a Delaware limited liability company ("CGI Marine," "we," "us," or "our"), governing your access to and use of the Skydancer Marine application and website at app.skydancermarine.com (the "Service").
By creating an account, subscribing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. The Service is not intended for children. If you use the Service on behalf of an organization, you represent that you are authorized to bind it.
Skydancer Marine is a boat-operations management tool for organizing vessel information, maintenance and service records, equipment and inventory, provisioning, trip planning, checklists, crew coordination, and a captain's log.
The Service is an organizational and record-keeping tool only. It is not a navigation, positioning, autopilot, distress, emergency, weather, or safety-of-life system, and must not be relied upon for the safe operation of a vessel or in any emergency. You remain solely responsible for the safe operation of your vessel, for compliance with all applicable maritime laws and regulations, and for maintaining proper navigation, communication, and safety equipment. See Section 11.
You are responsible for the information you provide, for safeguarding your login credentials, and for all activity under your account. Notify us promptly at support@skydancermarine.com if you suspect unauthorized use. We may suspend or terminate accounts that violate these Terms or pose a security or legal risk.
The Service supports multiple users per boat. The account owner ("Owner") may invite crew, family members, mechanics, and others and assign them roles and permissions.
The Service is offered through subscription plans, which may include a free trial. The features and price of each plan are presented at the point of purchase. We may offer founding or promotional tiers on terms described at sign-up.
Subscriptions automatically renew. Unless you cancel before the end of the current term, your subscription renews for successive periods (monthly or annually, as selected), and the payment method on file is charged the then-current price for the renewal term at the start of each renewal. We disclose the billing amount, frequency, and renewal terms before you subscribe.
You may cancel at any time through your account settings (or, for purchases made through an app marketplace, through that marketplace's subscription settings). Cancellation stops future renewals; it takes effect at the end of the current paid term, and you retain access until then. If a free trial converts to a paid subscription, you may cancel before the trial ends to avoid being charged.
Subscriptions are managed through RevenueCat and processed by the applicable provider — Stripe (direct/web), or Apple or Google where you purchase through an app marketplace — in each case subject to that provider's terms. You authorize us (and our payment processor) to charge your payment method for the subscription and any applicable taxes.
Except where required by applicable law (or by the rules of the marketplace through which you purchased), fees are non-refundable and there are no refunds or credits for partial periods. Marketplace purchases are subject to that marketplace's refund policies.
We may change subscription prices. We will give advance notice, and the change takes effect on your next renewal; if you do not agree, you may cancel before it takes effect.
You retain ownership of the data and content you submit ("Your Content"). You grant CGI Marine a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, and process Your Content solely to operate, maintain, secure, and provide the Service to you and your authorized users, and as needed to comply with law. You represent that you have the rights necessary to submit Your Content and that it does not violate these Terms or any third-party rights.
You agree not to: use the Service unlawfully or in violation of these Terms; upload illegal, infringing, or privacy-violating content; access accounts, data, or workspaces that are not yours, or circumvent security or tenant-isolation controls; interfere with or disrupt the Service or introduce malware; reverse engineer or extract source code except where permitted by law; resell or commercially exploit the Service without our written permission; or use automated means that burden our infrastructure.
The Service, including its software, design, and trademarks (including "Skydancer Marine"), is owned by CGI Marine or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose, subject to these Terms. We retain all rights not expressly granted.
The Service relies on third-party providers (such as RevenueCat, Stripe, Apple, Google, hosting and storage providers, and mapping/geocoding sources) and may link to third-party content. We are not responsible for third-party services or content, and your use of them is governed by their own terms.
If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that data will not be lost.
Marine safety disclaimer. The Service is a record-keeping and organizational tool and is not a substitute for proper seamanship, marine safety equipment, official charts, weather services, or professional advice. Do not rely on the Service for navigation, safety-of-life, distress, or emergency purposes. You are solely responsible for the safe operation of your vessel and for compliance with all applicable laws and regulations. Maintenance records, reminders, and checklists are aids only and do not guarantee the condition, seaworthiness, or regulatory compliance of any vessel or equipment.
Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
To the maximum extent permitted by law, CGI Marine and its officers, members, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, or for damage to or loss of any vessel or property or any personal injury, arising out of or relating to your use of (or inability to use) the Service, even if advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) US $100.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You agree to indemnify and hold harmless CGI Marine and its officers, members, and employees from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, your violation of these Terms, or your violation of any law or third-party right.
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ends; Sections that by their nature should survive (including Sections 6, 8, 11–13, and 15) will survive.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO BRING A LAWSUIT IN COURT AND TO PARTICIPATE IN A CLASS ACTION.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The Federal Arbitration Act governs the interpretation and enforcement of the arbitration provisions below.
Before starting an arbitration or lawsuit, you agree to first contact us at support@skydancermarine.com and give us 30 days to resolve the dispute informally.
If we cannot resolve a dispute informally, you and CGI Marine agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding, individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except as stated in Section 15.5. The arbitration will take place in Delaware or, at your election where the rules allow, by video, by telephone, or on the basis of written submissions only. The arbitrator may award the same individual damages and relief that a court could.
You and CGI Marine agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of class or representative proceeding.
Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information. For any dispute not subject to arbitration, you and CGI Marine submit to the exclusive jurisdiction of the state and federal courts located in Delaware.
You may opt out of the arbitration agreement and class-action waiver in Sections 15.3–15.4 by emailing support@skydancermarine.com within 30 days of first accepting these Terms, with your name, account email, and a statement that you opt out of arbitration. Opting out will not affect any other part of these Terms.
Nothing in this Section limits any non-waivable rights you have under the mandatory consumer-protection laws of your place of residence.
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and provide notice through the Service or by email where appropriate. Your continued use after the changes take effect constitutes acceptance.
These Terms, together with the Privacy Policy and any order or plan terms, are the entire agreement between you and CGI Marine regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. There are no third-party beneficiaries except as stated in Section 18.
